Have you possibly added xfce4-panel to IgnorePkg in your /etc/pacman.conf ?

Check: cat /etc/pacman.conf | grep IgnorePkg

Why doesn’t yay upgrade?

It’s not because of yay, rather you used -Syyu instead of -Syu option. Maybe the package databases were not well refreshed last time you did an upgrade.
